Google and download Vixy.

Then its simple from there

there are heaps of good free ones, google this - flv to mp3
they are very easy to use, step by step process, can't go wrong, usally same converter will do 3gp for your mobile, then you can make it a ringtone. I use a program called "format factory", its free... and very good
